All proposals and quotes are valid for 30 days from the date of issuance unless otherwise specified. Acceptance of a proposal constitutes agreement to the terms outlined therein.
Any changes to the agreed scope of work must be documented in writing and approved by both parties. Additional charges may apply for scope changes.
You agree to pay all fees and charges associated with the services you receive. Payment terms will be specified in your service agreement.
We accept various payment methods as specified in your service agreement. All payments must be made in the currency specified in your invoice.
Late payments may be subject to interest charges and may result in suspension of services. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, software, and designs, are owned by or licensed to FJK Build and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any intellectual property you provide to us. By providing such materials, you grant us a license to use them solely for the purpose of delivering our services to you.
Ownership of work product created under a service agreement will be specified in that agreement. Unless otherwise agreed in writing, you will receive ownership of custom deliverables upon full payment.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any service agreement.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is valid for the period specified in your service agreement.
Except as expressly stated in a service agreement, our services are provided as is without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, FJK Build shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim during the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless FJK Build, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services or violation of these terms.
Either party may terminate a service agreement as specified in that agreement. Termination terms, including notice periods and refund policies, will be outlined in your service agreement.
We may terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms of Service or engage in any prohibited activities.
Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail, the parties may pursue mediation before resorting to litigation.
We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified terms.
These Terms of Service, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and FJK Build regarding our services.
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term.
You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign these terms without restriction.
